5. NO GUARANTEE OF RESULTS
The Vizion Academy does not guarantee specific results, including but not limited to:
- Streaming numbers
- Sales or revenue
- Audience growth
- Playlist placements
- Social media engagement
All marketing and promotional services are provided on a best-effort basis.

6. PAYMENTS & REFUNDS
- All payments must be made in full or according to agreed payment plans.
- Deposits are non-refundable.
- Once work has started, no refunds will be issued.
- Digital products (beats, mixes, artwork, etc.) are non-refundable once delivered.
Failure to complete payment may result in suspension of services and withholding of final files.

7. REVISIONS POLICY
- A limited number of revisions may be included depending on the service purchased.

9. CLIENT RESPONSIBILITIES
Clients agree to:
- Provide all necessary files, information, and direction
- Respond in a timely manner
- Ensure all submitted content is owned or legally licensed
The Vizion Academy is not responsible for copyright violations caused by client-submitted materials.

10. INTELLECTUAL PROPERTY & RIGHTS
#### a. Non-Exclusive Purchases
- The Vizion Academy retains ownership of the production.
- Clients receive a license for use under agreed terms.
#### b. Exclusive Purchases / Buyouts
- Ownership rights are transferred as defined in the purchase agreement.
- The Vizion Academy may still retain production credits and royalty percentages unless otherwise stated.
#### c. Credits
Clients must properly credit The Vizion Academy in all released works unless otherwise agreed in writing.

11. ROYALTIES & REVENUE SPLITS
Unless explicitly stated otherwise:
- The Vizion Academy may retain a percentage of royalties, publishing, or backend revenue
- Specific splits will be outlined in project agreements or contracts
Failure to report earnings may result in legal action.

12. MEMBERSHIPS & SUBSCRIPTIONS
- Memberships are billed on a recurring basis (monthly or annually).
- Benefits are only valid during the active membership period.
- Unused credits or services do not roll over unless stated.
- Memberships may be canceled at any time, but no refunds will be issued for partial periods.
The Vizion Academy reserves the right to modify membership benefits at any time.

13. EP / PROJECT DEALS
- EP packages require a deposit to begin work.
- Final files will not be delivered until full payment is completed.
- Revenue splits, ownership, and buyout options will be defined in a separate agreement.

14. MARKETING SERVICES DISCLAIMER
- The Vizion Academy does not control third-party platforms (Spotify, YouTube, social media, etc.)
- We are not responsible for algorithm changes, account suspensions, or platform policies
- Any marketing campaigns are executed based on industry practices, not guarantees

15. LIMITATION OF LIABILITY
The Vizion Academy shall not be held liable for:
- Financial losses
- Missed opportunities
- Platform bans or restrictions
- Indirect or consequential damages
All services are used at the client’s own risk.

16. TERMINATION OF SERVICES
We reserve the right to refuse or terminate services if:
- Terms are violated
- Disrespectful or abusive behavior occurs
- Payments are not completed
No refunds will be issued in such cases.

17. CHARGEBACKS & DISPUTES
- Filing a chargeback without contacting us first is a violation of this agreement
- We reserve the right to dispute all chargebacks and pursue legal action if necessary

For services delivered by Service Providers, refunds are not handled by THEVIZIONACADEMY. If you have any concerns, contact your Service Provider directly through the Order Chat to discuss their individual Terms on Revisions and Refunds. Using the THEVIZIONACADEMY logo, name, or any modified version on any printed or digital media not provided directly by THEVIZIONACADEMY is not permitted. Prohibited Usage
At THEVIZIONACADEMY, we uphold a safe and respectful environment for all users. The following activities are strictly prohibited:
1. Adult Services & Pornography: We do not permit the exchange of adult-oriented or pornographic materials and services on our platform.

Please refrain from contacting users with offers, questions, or suggestions unrelated to their Gigs or orders.
4. Privacy & Identity: It is strictly forbidden to publish or post other people's private and confidential information. Any necessary exchange of personal information for service completion must take place within the Order Page. Sellers are bound not to use any non-public domain information received from buyers for any purpose other than delivering the work.
5. Authentic THEVIZIONACADEMY Profile: Creating a false identity, misrepresenting yourself, or using someone else's account or information is not allowed. Your profile information must be accurate, complete, and free from misleading, illegal, offensive, or harmful content. We reserve the right to verify users' identities if necessary.
6. Intellectual Property Claims: We take intellectual property rights seriously. Upstrm will respond to valid notices of alleged copyright or trademark infringement and violations of third-party terms of service.
7. Fraud / Unlawful Use: The use of THEVIZIONACADEMY for any unlawful purposes or illegal activities is strictly prohibited. We encourage all users to respect these guidelines and contribute to a positive and thriving community on THEVIZIONACADEMY.
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

User Generated Content (UGC) refers to the content contributed by our users, including Buyers and Sellers, rather than content created by THEVIZIONACADEMY. As an open platform, THEVIZIONACADEMY does not pre-screen or monitor user-generated content for appropriateness or potential violations of rights. Users uploading or creating such content are solely responsible for it and its consequences.
By uploading or creating content on the THEVIZIONACADEMY platform, you affirm that you have the necessary rights, licenses, permissions, and authority to use and upload the content. You also warrant that the content:- Does not infringe or violate any intellectual property, proprietary, privacy, data protection, or publicity rights of any third party.- Does not violate any local, state, federal, and international laws, regulations, and conventions.- Does not violate your or any third party's policies and terms of service.
We encourage users to report any violations they come across, providing proof of ownership when necessary. Reported violating content may be removed or disabled as appropriate.
Please note that THEVIZIONACADEMY is not responsible for the content's quality or the level of service provided by the service provider. We do not offer warranties regarding services contracted between Buyers and Sellers. We urge users to rely on our rating system, community feedback, and common sense when selecting services.
Sellers offering services undertake that they have the necessary permissions, rights, and licenses for providing, selling, or reselling their offerings on Upstrm. Additionally, Sellers advertising their services online must comply with the relevant platform's laws and terms of service. Failure to do so may result in removal of the service and may lead to account suspension.
For matters concerning Intellectual Property rights and reporting copyright or trademark infringement, please refer to our Intellectual Property Claims Policy, which is an integral part of these Terms of Service. Please be aware that repeat infringers may face account disablement or termination according to our policy.
Disclaimer of Warranties
We want to be transparent with you, and it's essential to understand that your use of the THEVIZIONACADEMY platform, its content, and any services or items obtained through the site is at your own risk. The platform, its content, and services are provided on an "as is" and "as available" basis, without any warranties, whether express or implied.
